TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using the Sideline HQ website (sidelinehq.co), mobile applications, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Sideline HQ (“we,” “us,” or “our”). We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Sideline HQ is a cloud-based equipment management platform designed for high school, youth, and small college athletic programs. The Service allows authorized users to track equipment inventory, manage check-in/check-out workflows, maintain player rosters, and generate reports.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all users added to your organization account are authorized by your school or organization

You must be at least 18 years old or have the authority of your school or organization to create an account. Accounts are intended for use by coaches, athletic directors, equipment managers, and other authorized school personnel.

4. Subscription and Payment

4.1 Pricing

The Service is offered on a subscription basis. Current pricing and plan details are available on our pricing page. Prices are subject to change with 30 days' notice to existing subscribers.

4.2 Billing

Subscriptions are billed annually. Payment is due at the start of each billing cycle. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends. We will notify you before any charges are applied.

5. Acceptable Use

You agree to use the Service only for its intended purpose — managing athletic equipment for your school or organization. You may not:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use automated scripts or bots to access the Service

6. Data Ownership and Usage

6.1 Your Data

You retain ownership of all data you enter into the Service, including equipment records, player rosters, and organizational information (“Your Data”). We do not claim ownership of Your Data.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not sell Your Data to third parties.

6.3 Data Export

You may export Your Data at any time through the Service's export functionality. Upon account termination, we will make Your Data available for export for 30 days before deletion.

6.4 Aggregated Data

We may use anonymized, aggregated data derived from usage of the Service for analytics, benchmarking, and product improvement purposes. Such aggregated data will not identify you or your organization.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by Sideline HQ and protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service without our prior written consent.

“Sideline HQ” and the Sideline HQ logo are trademarks of Sideline HQ. You may not use our trademarks without our prior written permission.

9. Termination

9.1 By You

You may cancel your subscription at any time by contacting us at info@sidelinehq.co. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of that period.

9.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use poses a risk to the Service or other users. We will provide notice when feasible.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days following termination to allow for export, after which it will be deleted in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any loss of data except as caused by our gross negligence or willful misconduct.

11. Limitation of Liability

To the maximum extent permitted by law, Sideline HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Sideline HQ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in St. Johns County, Florida.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sideline HQ regarding the Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
